About these numbers

Delaware's figures come from the Delaware Division of Corporations1. For California, Florida, New York and Wyoming the state sites could not be opened from our build machine on October 2, 2026, so the figures are as published in ZenBusiness's state guides and labelled that way. Check your state filing office before you pay.

We left Texas out: the guide we read gives two different filing fees on the same page.

California's extra costs

California has the costs new owners most often miss: the $800 yearly minimum franchise tax, a $20 Statement of Information due within 90 days of formation, and optional expedited filing at $350 for 24 hours, $500 for 4 hours or $750 for same day2. A name can be reserved for 60 days for $102.

New York's publication rule

New York LLCs must publish notice of formation in newspapers and file proof. ZenBusiness puts the combined cost, including county fees, newspaper advertising and the certificate filing fee, at typically $600 to $1,2004.

Working out your first-year state cost

  1. Step 1

    Add the filing fee

One time, paid when you file.

  2. Step 2

Add the yearly tax or report fee

Check when the first one is due; some states bill in the first year.

  3. Step 3

    Add one-off rules

Like New York's publication or California's Statement of Information.
