Guide: Florida, from abroad
Florida LLC for non-residents
Updated October 25, 2026
Florida's form asks for a company name, a principal address and a registered agent with a Florida street address. It does not ask where the owner lives. Here is what the state charges, what it requires, and what each formation service adds on top.
$125
New Florida LLC: $100 filing fee plus $25 registered agent fee, both required
$138.75
Annual report each year, January 1 to May 1; $538.75 after May 1
Florida Division of Corporations, LLC Fees, read Oct 14, 2026. See source
$125 to the state: a $100 filing fee and a $25 registered agent fee, both marked required1. A certified copy ($30) and a certificate of status ($5) are optional2.
The registered agent must have a physical street address in Florida, not a P.O. Box, and must sign the filing; the LLC cannot be its own agent2.
The instructions list no citizenship or residency requirement for owners; managers' names are optional and members are not listed at all2.
$138.75 a year for the annual report, due between January 1 and May 1 of the year after formation; a $400 late fee after May 1 and administrative dissolution after the third Friday in September13.
Formation services' entry tiers run $0 to $297 on top of the state fee; the EIN is free from the IRS by phone or fax from abroad4721.
What Florida charges
Read from the Division of Corporations' fee page, filing instructions and annual report page on October 14, 2026.
The Division's instructions cover the minimum content of the Articles: the name, the principal office street address, a mailing address (a P.O. Box is acceptable), the registered agent, an optional purpose, optional managers or authorized representatives, an effective date, a signature and a correspondence email2. Nothing in that list asks for an owner's citizenship or residency, and the instructions say "Do not list members"2. The form has to be signed by "at least one person acting as the authorized representative", and online that means typing a name in the signature block2.
The principal office is "the street address of the LLC's principal office"; the page does not say it must be in Florida2. What must be in Florida is the registered agent's address, covered next. The Division also says it is an administrative filing agency and cannot give legal, accounting or tax advice, and recommends legal counsel review documents before submission2.
The registered agent rule, in the state's words
"The registered agent must have a physical street address in Florida. (Do not list a P.O. Box address.)" "An entity cannot serve as its own registered agent. However, an individual or principal associated with the business may serve as the registered agent." "A business entity with an active Florida filing or registration may serve as a registered agent."2
The agent must sign, and the signature confirms the agent accepts the obligations of section 605.0113(3), Florida Statutes; online, the agent types their name, and typing someone's name without permission is forgery under section 831.062. An owner abroad without a Florida street address therefore names a service, which is the $25 line on the fee page plus whatever the service charges; every agent service below says it covers Florida.
Effective date and the first annual report
The LLC exists from the date the Division files the Articles unless you specify an effective date, which can be up to five business days before or 90 days after receipt2. The state's own tip: a filing between October 1 and December 31 with a January 1 effective date postpones the first annual report by a year, because the report period starts "the calendar year following the LLC's date of filing or, if listed, its effective date"2.
The annual report is not a financial statement; it confirms or updates the record and is required whether or not anything changed3. For 2026 the Division gave until 11:59 PM EST on Friday May 1 before the $400 late fee, and the third Friday in September before administrative dissolution3. Checks must be in U.S. currency drawn on a U.S. bank; cards work online3. The report can also change the registered agent and add the EIN3.
What each formation service charges for a Florida LLC
Tiers from each provider's own page; the last column is our arithmetic: the Florida filing fee ($125) plus the entry tier plus the provider's own registered agent price where its page states one. A dash means the page does not state it.

Package pages read: LegalZoom and doola October 7, MyCompanyWorks October 8, Tailor Brands October 12, Harbor Compliance October 13, ZenBusiness October 2, Bizee October 20, Inc Authority October 14, 2026; the others were checked again October 15, 2026. Zenind's pricing page shows "starting at $0" but did not render its Standard and Premium prices on October 14 or 15, so those cells carry no price. Renewal prices apply from year two.
The federal side for an owner abroad
Florida creates the LLC; the IRS issues the EIN, and it is free. The online tool is only for a business with a principal place of business in the US and a responsible party with an SSN or ITIN20. From abroad, call 267-941-1099 (Monday to Friday, 6 a.m. to 11 p.m. Eastern) or fax Form SS-4 to 304-707-9471; a fax reply takes about 4 business days, mail about 4 weeks21. A nonresident alien with no effectively connected US income enters "N/A" where the form asks for an SSN or ITIN22. See EIN without an SSN.
FinCEN's final rule, effective August 14, 2026, exempts entities created in the United States from beneficial ownership reporting; a Florida LLC is created in the United States even when its owner lives abroad. Companies formed under foreign law that register to do business in a US state remain reporting companies unless exempt, and there is no fee to file with FinCEN23. The whole route is on US LLC for non-residents.

Do I need to be a US citizen or resident to form a Florida LLC?
The Division's instructions list what the Articles must contain and do not include citizenship or residency; members are not listed on the form2. For your own situation, ask a Florida attorney.
Can I be my own registered agent from abroad?
Only with a physical street address in Florida; a P.O. Box is not accepted2. The services above list Florida coverage.
What does the first year cost at the state?
$125 to file; the first $138.75 annual report falls in the calendar year after formation13. Our arithmetic with each service is in the table above.
Is the $25 agent fee the service's price?
No. The $25 is Florida's designation fee, paid to the state1. A service's own price is separate: $99 to $249 for the first year on the pages we read1518.
Is this tax or legal advice?
No. The state pages are linked in the sources; for your own situation, talk to a tax professional or attorney you choose.
